1. Scope

These General Terms and Conditions (GTC) apply to all contracts between Templass, owner Ali Rayan, Maxim-Gorki-Straße 8b, 17491 Greifswald, Germany (hereinafter "Hanetics", "we" or "contractor") and the respective client (hereinafter "client" or "customer") for services in the areas of web development, web design, e-commerce, hosting, managed email infrastructure, maintenance, support, and related services.

Conflicting or supplementary general terms and conditions of the client shall only become part of the contract if we expressly agree to their validity in writing.

Where the client is a consumer within the meaning of Section 13 of the German Civil Code (BGB), mandatory statutory provisions apply additionally. Otherwise, the contracts are primarily aimed at entrepreneurs within the meaning of Section 14 BGB.

3. Conclusion of contract and offers

3.1 Offers

Our offers, service descriptions on the website hanetics.com, and project documents are non-binding unless expressly agreed otherwise.

Unless stated otherwise, prices are subject to the applicable statutory value added tax.

3.2 Conclusion of contract

A contract is formed only through our written order confirmation, a written offer accepted by the client, or through commencement of performance following express order placement.

Oral side agreements, amendments, and supplements to the contract require text form to be effective. This also applies to the waiver of this text form requirement.

3.3 Project documents

The specific scope of services, schedule, remuneration, cooperation obligations, and technical framework conditions are defined in the offer, order confirmation, service description, or individually agreed project contract. In case of contradictions, individual agreements take precedence over these GTC.

4. Scope of services

Hanetics provides in particular the following services, insofar as agreed in each individual case:

4.1 Web development and design

Planning, concept development, design, and technical implementation of websites, web applications, landing pages, corporate presences, content structures, accessible interfaces, and custom digital solutions based on modern technologies such as Next.js, React, TypeScript, Node.js, WordPress, Patchbox, and comparable systems.

4.2 E-commerce

Development, relaunch, and technical support of online shops, including product management, checkout flows, payment and shipping integrations, and performance optimization.

4.3 API integrations and automation

Connection of websites and applications to external systems, in particular CRM, accounting, booking, and industry solutions, including REST and GraphQL interfaces, webhooks, and automated data imports.

4.4 SEO, performance, and technical optimization

Technical search engine optimization, Core Web Vitals optimization, structuring of metadata, sitemaps, schema markup, and ongoing SEO support and monitoring, where agreed.

4.5 Hosting and infrastructure

Provision and operation of hosting infrastructure in Germany, including server resources, SSL/TLS encryption, backups, monitoring, DDoS protection via the Templass infrastructure, and GDPR-oriented technical implementation, where agreed.

4.6 Managed email infrastructure

Setup, configuration, and operation of business email mailboxes and related technical security settings, where agreed.

4.7 Maintenance, support, and further development

Ongoing technical support, bug fixing, updates, security measures, content maintenance, and contractually agreed further development of existing projects.

5. Client cooperation obligations

The client shall provide all information, content, access credentials, approvals, images, texts, logos, trademark rights, domain data, hosting access, and other materials required for performance in a timely and complete manner.

The client is responsible for ensuring that the content and materials provided are free of third-party rights and that their use within the project is legally permissible.

Delays caused by late, incomplete, or incorrect cooperation by the client extend agreed deadlines accordingly. Additional effort arising from this may be charged separately if the client is responsible for the delay.

The client shall designate a reachable contact person for inquiries, approvals, and decisions.

6. Remuneration and payment terms

6.1 Prices

Remuneration is based on the respective agreed offer. Unless otherwise agreed, services are billed on a time-and-materials basis or as a fixed price.

Additional services, change requests, subsequent functional extensions, or additional effort not expressly included in the offer are billed separately after prior coordination.

6.2 Payment terms

Unless otherwise agreed, invoices are due within 14 days of the invoice date without deduction.

For larger projects, partial payments, advance payments, or milestone payments may be agreed.

In the event of late payment, we are entitled to charge statutory default interest and claim reminder and processing costs where necessary and reasonable.

6.3 Set-off and retention

The client may set off or exercise a right of retention only with undisputed or legally established claims.

7. Deadlines and schedules

Agreed delivery and project deadlines are binding only if expressly designated as binding.

Deadlines are extended appropriately if Hanetics depends on cooperation by the client that is not provided in time, in cases of force majeure, or if the scope of services changes after conclusion of the contract.

Partial deliveries and partial services are permitted if reasonable for the client.

8. Acceptance

Where a work or clearly definable project service is owed, acceptance takes place after provision for the agreed review by the client.

The client shall review the service without undue delay and declare acceptance or identify specific material defects within a reasonable period, unless otherwise agreed in the individual case.

If the service is used productively, published, or integrated into business processes, this constitutes acceptance unless material defects are asserted without undue delay.

Minor deviations from the service description that do not materially impair usability do not entitle the client to refuse acceptance.

9. Usage rights and copyright

9.1 Rights to work results

All drafts, concepts, designs, source code, documentation, and other work results created within the scope of the order are subject to copyright. A right of use passes to the client only after full payment of the agreed remuneration, unless expressly agreed otherwise.

Unless otherwise agreed, the client receives a simple, unlimited right of use in terms of time and territory to the work results created for them for the contractually intended purpose.

9.2 Reservation for outstanding claims

Until full payment of all outstanding claims from the respective project, all usage rights remain reserved with Hanetics.

9.3 Third-party materials and open source

Where open-source components, frameworks, plugins, fonts, stock materials, or third-party services are used to provide the service, the respective license and usage terms of the rights holders apply. Hanetics informs the client of material license restrictions where relevant to use.

9.4 Reference use

Hanetics is entitled to name the completed project as a reference and use it in portfolio, website, and presentations unless the client expressly objects.

10. Hosting, availability, and backups

10.1 Scope of hosting services

Under hosting contracts, we provide the agreed server and infrastructure services. The specific scope of services, storage space, traffic, backup intervals, support level, and term are defined in the respective offer.

10.2 Availability

We strive for high availability of the provided systems. Uninterrupted availability cannot be technically guaranteed. Maintenance work, security updates, disruptions at third-party providers, force majeure, or attacks on the infrastructure may lead to temporary restrictions.

10.3 Backups

Where agreed, we create regular backups. However, the client remains responsible for their own important data and content and should maintain additional backups where required for their business.

10.4 DDoS protection

Where DDoS protection is provided via the Templass infrastructure, it serves to protect systems against attacks. Absolute protection against all forms of attacks or outages cannot be assured.

10.5 Client obligations for hosting

The client may use the provided infrastructure only within the agreed services and applicable laws. Unlawful content, illegal use, spam distribution, malware distribution, or actions that endanger infrastructure security are prohibited. Hanetics is entitled to temporarily suspend services or terminate the contract for important cause in cases of serious violations.

11. Warranty

Statutory provisions apply to defects in performance unless otherwise regulated below.

The client must notify recognizable defects without undue delay in writing. In case of justified defects, we are initially entitled to subsequent performance by correction or replacement.

For services without a work-contract character, warranty relates to contractually compliant provision of the agreed services.

No warranty claim exists against Hanetics for defects caused by changes by the client, third parties, improper use, lack of cooperation, or subsequently integrated third-party components.

12. Liability

Hanetics is liable without limitation in cases of intent and gross negligence and for injury to life, body, or health.

In cases of slight negligence in breach of essential contractual obligations (cardinal duties), liability is limited to the typical, foreseeable contractual damage.

Further liability for damages is excluded to the extent permitted by law. This applies in particular to indirect damages, lost profits, data loss, and consequential damages unless intent or gross negligence is present.

We are liable for data loss only if the client has made appropriate data backups and recovery would not be possible or would require disproportionate effort even with proper backups by the client.

Where liability is excluded or limited, this also applies to the personal liability of our employees, vicarious agents, and representatives.

13. Data protection and data processing agreements

Hanetics processes personal data in accordance with applicable data protection law, in particular the GDPR. Details are set out in our privacy policy.

Where Hanetics processes personal data on behalf of the client, the parties conclude a data processing agreement pursuant to Art. 28 GDPR upon request.

The client is responsible for providing the required data protection information on their website, online shops, forms, and communication processes and for ensuring lawful legal bases for processing.

14. Confidentiality

Both parties undertake not to disclose confidential information of the other party that becomes known to them in connection with the contractual relationship to third parties and to use it only for contract performance.

This obligation does not apply to information that is publicly known or becomes public without breach of this obligation, or to disclosures required by law or official order.

15. Force majeure

Events of force majeure, in particular natural disasters, war, terrorism, strikes, pandemics, official orders, outages of network or energy providers, and serious disruptions at third-party providers, release the affected party from performance obligations for the duration of the disruption and its immediate effects.

If the impairment lasts longer than eight weeks, both parties are entitled to terminate the contract for important cause.

16. Term and termination

16.1 Projects and individual orders

Project contracts and individual orders end upon complete performance of the agreed services and payment of remuneration, unless otherwise agreed.

16.2 Ongoing contracts

For ongoing hosting, maintenance, support, or email contracts, the minimum term and notice periods agreed in the offer apply. Unless otherwise agreed, the notice period is one month to the end of the respective contract term.

16.3 Extraordinary termination

The right to extraordinary termination for important cause remains unaffected. Important cause exists in particular in cases of significant payment delays, serious breaches of contract, or unlawful use of the provided infrastructure.

16.4 Consequences of termination

After termination of the contract, we provide the client with their data and access credentials in a common format upon request, provided all outstanding claims have been settled. Further handover, migration, or continued operation may be charged separately.

17. Right of withdrawal for consumers

Where the client is a consumer and a distance contract exists, the statutory right of withdrawal applies unless a statutory exception applies. For services that begin at the express request of the consumer before expiry of the withdrawal period, the right of withdrawal may expire if the consumer has expressly agreed and confirmed knowledge of the expiry.

A separate withdrawal notice is provided in individual cases where legally required.

18. Final provisions

18.1 Applicable law

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.

18.2 Place of jurisdiction

If the client is a merchant, legal entity under public law, or special fund under public law, the exclusive place of jurisdiction for all disputes arising from the contractual relationship is Greifswald, unless mandatory statutory provisions provide otherwise.

18.3 Severability clause

If individual provisions of these GTC are wholly or partially invalid or become invalid, the validity of the remaining provisions remains unaffected. The invalid provision shall be replaced by a regulation that comes closest to the economic purpose of the invalid provision.
